1 Definitions

In these Terms & Conditions, the following words and expressions shall have the meanings assigned to them below. Terms defined in the singular include the plural and vice versa:

• "Company," "we," "us," or "our" refers to Smartstart Business Solutions.
• "Client," "you," or "your" refers to the individual, business, or entity engaging with our services.
• "Services" refers to all consulting, marketing, branding, sales, and business process services provided by us.
• "Agreement" refers to any service agreement, proposal, or contract signed between us and the Client.
• "Website" refers to smartstart.biz and all associated pages.
• "Deliverables" refers to any materials, reports, strategies, content, or outputs created under a service engagement.

2 Acceptance of Terms

By accessing our website, submitting an inquiry, or entering into a service agreement with us, you accept these Terms & Conditions in full. If you disagree with any part of these terms, you must not use our website or services.

These Terms & Conditions apply to all visitors, clients, and users of our website and services. They are supplementary to, and do not replace, any specific terms set out in a signed service agreement.

3 Services

Smartstart Business Solutions provides the following categories of services:

• Sales Solutions: Sales process design, virtual sales team deployment, and corporate sales training.
• Brand Solutions: Brand strategy, identity, positioning, communication frameworks, and brand assets.
• Digital Marketing: Performance marketing, social media management, SEO, web development, and conversion optimisation.
• Process Excellence: Business process re-engineering, workflow automation, SOP development, and operational audits.

The exact scope, deliverables, timelines, and fees for each engagement are defined in the respective service agreement or proposal document provided to the Client.

4 Engagement & Payment

Project Initiation

All engagements commence upon receipt of a signed service agreement and the applicable advance payment. Work does not begin until both conditions are satisfied.

Fees & Invoicing

• All fees are as quoted in the proposal or service agreement and are subject to applicable taxes.
• Invoices are payable within the period specified in the agreement (typically 7-14 days from the invoice date).
• Late payments may attract interest charges as specified in the agreement.

Revisions & Scope Changes

Any change in project scope, additional deliverables, or extensions beyond the agreed timeline may result in revised fees. Such changes will be communicated and agreed upon in writing before implementation.

Refund Policy

Advance payments are generally non-refundable once work has commenced. Any exceptions are at the sole discretion of Smartstart Business Solutions and will be addressed in the individual service agreement.

5 Intellectual Property

Our Content

All content on our website – including text, graphics, logos, images, and software – is the property of Smartstart Business Solutions and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

Client Deliverables

Upon full payment of all fees due, ownership of the agreed deliverables shall transfer to the Client as specified in the service agreement. Until full payment is received, all deliverables remain the intellectual property of Smartstart Business Solutions.

Underlying Tools & Processes

Our proprietary methodologies, frameworks, templates, and internal processes remain the exclusive property of Smartstart Business Solutions, regardless of whether they are used in the creation of Client deliverables.

6 Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. We will not disclose your business information, data, or strategies to third parties without your consent, except as required by law.

Equally, you agree not to disclose our proprietary methods, pricing structures, or internal processes to any third party without our prior written consent.

This confidentiality obligation survives the termination of any service agreement for a period of two (2) years.

7 Warranties & Disclaimers

We take pride in the quality of our work and are committed to delivering value. However, we make the following disclaimers:

• We do not guarantee specific business outcomes, revenue growth, or lead generation targets, as results depend on multiple factors outside our control.
• Our website and services are provided "as is" without warranties of any kind, express or implied.
• We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.
• Information on our website is for general informational purposes and does not constitute professional legal, financial, or accounting advice.

8 Limitation of Liability

To the fullest extent permitted by law, Smartstart Business Solutions shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website.
• Any loss of revenue, profit, data, goodwill, or business opportunity.
• Any damages arising from errors, omissions, or inaccuracies in our content or deliverables.

Our total liability for any claim arising out of or relating to a service engagement shall not exceed the total fees paid by the Client for that specific engagement in the three (3) months preceding the claim.

9 Indemnification

You agree to indemnify, defend, and hold harmless Smartstart Business Solutions, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses – including reasonable legal fees – arising out of or relating to:

• Your use of our website or services in violation of these Terms.
• Your breach of any representation or warranty provided under these Terms.
• Any content or information you provide to us that infringes a third party's rights.
• Any misuse of deliverables provided to you.

10 Termination

Either party may terminate a service engagement by providing written notice as specified in the service agreement. Upon termination:

• You are obligated to pay for all work completed up to the date of termination.
• We will deliver all completed work and materials to you upon receipt of all outstanding payments.
• Any advance payments for uncompleted work will be refunded at our discretion, as per the terms of the service agreement.

We reserve the right to terminate the engagement immediately and without notice if you breach these Terms or your obligations under the service agreement.

11 Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

We encourage clients to first attempt to resolve any disputes through direct communication with our team before pursuing formal legal remedies.

12 Amendments

Smartstart Business Solutions reserves the right to modify these Terms & Conditions at any time. Changes will be effective immediately upon posting to the website. The "Last Updated" date at the top of this page will reflect when changes were last made.

Your continued use of our website or services after any changes constitutes your acceptance of the new Terms. We recommend reviewing this page periodically.
